Software Licence Agreement

1. Grant of Licence

Modax Consulting Inc. (“Modax”) grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Modax Timesheet Suite software-as-a-service platform (“Service”) in accordance with the terms of your subscription agreement and this licence.

2. Restrictions

You may not: (a) sublicense, sell, resell, transfer, assign, or distribute the Service; (b) modify, reverse-engineer, decompile, or disassemble the Service; (c) use the Service to build a competing product or service; (d) use the Service for any unlawful purpose or in violation of any applicable laws or regulations.

3. Intellectual Property

All rights, title, and interest in and to the Service, including all intellectual property rights therein, remain with Modax. Your data remains yours — Modax claims no ownership over any data you submit to the Service.

4. Service Availability

Modax will use commercially reasonable efforts to make the Service available 24/7, subject to planned maintenance and circumstances beyond our reasonable control. The Service is provided “as is” without warranty of any kind, express or implied.

5. Termination

Either party may terminate this licence upon 30 days' written notice. Modax may terminate immediately if you breach any term of this agreement. Upon termination, your access to the Service will cease and you may request export of your data within 30 days.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Modax shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

7. Governing Law

This licence shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to conflict of law principles.
