Terms of Service

1. Introduction

Modax Timesheet Suite (the "Platform") is operated by Modax Consulting Inc. (Canada), Modax Consulting LLC (USA), Modax Consulting Ltd. (UK) (collectively, "Modax" or "we," "our," or "us"). When you use the Platform, you enter into a binding contract with us. If you are acting on your company's or client's behalf, you accept these terms on their behalf and "you" refers to you, your company, or your client.

2. Agreement to Terms

To access and use the Platform, you acknowledge and agree: (a) to these terms and our Privacy Policy; (b) that you are at least 18 years of age; (c) that you are capable of forming a binding contract; and (d) that you are not located in, and will not use the Platform from, any jurisdiction subject to comprehensive sanctions or embargo (including Cuba, Iran, North Korea, Syria, or the Crimea/Donetsk/Luhansk/Kherson/Zaporizhzhia regions of Ukraine, or Russia), and that you are not on any restricted party list. You agree to comply with applicable export and trade laws.

3. Use of Service

You may access and use the Platform for your own internal, lawful purposes only. You are responsible for maintaining the confidentiality of your account and for all activities under your account. You will provide accurate, up-to-date account information and notify us immediately if you believe your account has been compromised.

4. Changes

We may modify these terms at any time. We will notify you by posting through the Platform or on our website. Your continued use indicates agreement to the modifications. In some cases, you may need to accept changes to continue using the Platform. We may also modify, suspend, or discontinue the Platform at any time.

5. Subscription and Billing

Paid plans are subject to the pricing and billing terms agreed at signup. We may modify pricing with notice. Trial periods are offered at our discretion. Payments may be billed in advance on a recurring basis. You may cancel your subscription at any time; cancellations take effect at the end of the current period. We do not provide refunds for partial periods.

6. Content and Data

You are solely responsible for content you submit to the Platform. Your content remains yours; by using the Platform you grant us a limited licence to host, store, and process your content to operate and provide the service. We may collect aggregated, de-identified usage data. Modax and its licensors retain all rights in the Platform except those expressly granted to you.

7. Prohibited Uses

You may not use the Platform to: violate any law; post illegal or inappropriate content; transmit malware; send spam; impersonate Modax or others; resell or redistribute the Platform; reverse engineer or decompile the Platform; or infringe intellectual property rights. We may terminate your access for prohibited use.

8. Termination

This agreement is effective until your subscription expires, you cancel your account, or we terminate it. We may suspend or terminate your access at any time. Upon termination, you must stop using the Platform. No termination entitles you to a refund.

9. Survival

The following sections survive termination: Content and Data, Payment (for fees due), Disclaimers, Limitation of Liability, Indemnity, Governing Law, and General Terms.

10. Disclaimers

The Platform is provided "as-is." Except as expressly stated or required by law, we make no warranties, including no implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Platform is error-free, secure, or free from harmful components.

11. Limitation of Liability

Our total liability arising from or relating to this agreement is limited to the greater of: (1) the fees you paid for the relevant service in the 12 months before the claim, or (2) $100. We are not liable for: loss of data, profits, revenues, or business opportunities; indirect, incidental, or consequential damages; or punitive damages. These limitations apply even if we have been advised of the possibility of such damages.

12. Indemnity

You will indemnify and hold harmless Modax for any losses, damages, or expenses arising from your unlawful or unauthorized use of the Platform or violation of these terms.

13. Governing Law

Depending on your location and the entity with which you contract, the laws of Canada, the applicable US state, or the United Kingdom govern these terms. We comply with applicable local laws in each jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

14. Compliance with Trade Laws

You agree not to use, export, re-export, or transfer the Platform except as authorized by applicable law. You will not use the Platform from or in any embargoed or sanctioned jurisdiction, or if you are on any restricted party list.

15. Assignment

We may assign or transfer this agreement at any time. You may not assign your rights without our consent.

16. Severability

If any provision is unlawful, void, or unenforceable, that provision is severed and the remaining provisions remain in full force.

17. Waiver

Our failure to enforce any right does not constitute a waiver. Any waiver must be in writing and signed by an authorized representative.
